Terms of Use : For Buyer

These Terms of Use (“Terms”) govern your access to and use of the Food Farm Hub, B2B Online Marketplace (the “Marketplace” or “Platform”), operated by Food Farm Hub Company Limited (“we,” “us,” or “our”). These Terms apply specifically to you as a Buyer on the Platform. By registering an account, accessing, or using the Marketplace, you agree to be bound by these Terms. If you do not agree, you must not use the Marketplace.

1.Definitions

  • Buyer: A registered business entity or individual bulk purchaser using the Platform to purchase goods or services from Suppliers.
  • Supplier ( Vendor Or Seller): A registered business entity using the Platform to list and sell goods or services to Buyers.
  • User: Collectively, Buyers, Suppliers, and any other registered or unregistered visitors to the Platform.
  • Content: Any text, images, descriptions, listings, data, reviews, or other materials uploaded, posted, or transmitted via the Platform.
  • Transaction: Any agreement or exchange between a Buyer and Supplier facilitated through the Platform.
  • Other terms are defined as they appear in these Terms.

2.Account Registration and Eligibility

To use the Marketplace as a Buyer, you must create an account by providing accurate business information, including your contact information, company name, address, tax ID, and contact details. You represent that you are authorized to bind your business to these Terms.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • We reserve the right to refuse registration or suspend/terminate accounts at our discretion, including for violations of these Terms.

3.Use of the Marketplace

The Marketplace is a platform facilitating B2B transactions between Buyers and Suppliers. We are not a party to any Transaction and do not own, sell, or guarantee any goods or services listed.

  • Permitted Use: You may browse listings, communicate with Suppliers, place orders, and complete purchases solely for legitimate business purposes.
  • Prohibited Use: You must not:
    • Use the Marketplace for illegal activities, fraud, or misrepresentation.
    • Harvest data, scrape Content, or interfere with the Platform’s functionality.
    • Post false, misleading, or harmful Content.
    • Violate intellectual property rights or engage in unauthorized commercial activities.
    • Use automated tools without permission.

We may monitor activity to enforce these rules but are not obligated to do so.

4.Purchasing Process and Buyer Obligations

  • Listings and Offers: Product listings are provided by Suppliers. We do not verify accuracy, quality, or compliance. Review listings carefully before purchasing.
  • Forming a Transaction: Placing an order or RFQ or bid creates a binding agreement with the Suppliers based on their terms. In auctions, bids are irrevocable for [specify period, e.g., 48 hours].
  • Covenants: As a Buyer, you agree to
    • You must review  supplier, product information, pricing, shipping costs, certification, and trade terms before agreeing to or proceeding with payment to the Supplier.
    • Comply with payment, delivery, and dispute processes.
    • Report issues to the Suppliers first; we may assist in disputes but are not liable.

5.Payments, Fees, and Billing

  • Payments: Transactions are processed through our payment gateway or directly with Suppliers. You authorize us to charge applicable fees.
  • Fees: Buyers may incur transaction fees, currency conversion fees, or other charges as disclosed. We do not charge listing fees to Buyers.
  • Refunds and Returns: Governed by Suppliers policies. We may facilitate but are not responsible for refunds.
  • Taxes: You are responsible for all applicable taxes on purchases.

6.Intellectual Property

  • Ownership: All Content on the Marketplace is owned by us, Suppliers, or licensors. You are granted a limited, non-exclusive license to use the Platform for B2B purposes.
  • Your Content: Any Content you upload (e.g., reviews) grants us a perpetual, royalty-free license to use for Platform operations.
  • Infringement: Do not infringe third-party IP. Report suspected infringements to us.

7.Warranties and Disclaimers

  • As-Is Basis: The Marketplace is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement.
  • No Endorsement: We do not warrant the accuracy, quality, or legality of Seller listings or goods.
  • Buyer Representations: You warrant that your use complies with all laws and that you will not hold us liable for Transaction disputes.

8.Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Marketplace, including lost profits or data.

  • Cap on Liability: Our total liability shall not exceed the fees paid by you (if any) in the preceding 12 months 
  • Third-Party Actions: We are not liable for Supplier or Buyer conduct, product defects, or Transaction failures.
  • Force Majeure: We are not liable for events beyond our control (e.g., natural disasters, cyber attacks).

9.Indemnification

You agree to indemnify and hold us harmless (including our affiliates, employees, and agents) from any claims, damages, or costs (including legal fees) that arise from your use of the Platform, your Content, your Transactions, or any violation of these Terms or laws.

10.Termination and Suspension

We may suspend or terminate your account at any time for violations, non-payment, inactivity, or at our discretion, with or without notice. Upon termination, you lose access, but obligations (e.g., payments, indemnity) survive. You may terminate by closing your account, subject to settling obligations.

11.Dispute Resolution and Governing Law

11.1 Governing Law: These Terms are governed by the laws of Thailand, without regard to conflict of laws principles.

11.2.Dispute Resolution: Disputes arising from these Terms or the Platform shall first be resolved through good-faith negotiation. If resolution is not reached, the dispute will be submitted to binding arbitration governed by the laws of Thailand. You expressly waive any right to participate in a class action.

12.Miscellaneous

12.1 Amendments: See introduction for changes.

12.2 Severability: If any provision is invalid, the remainder remains enforceable.

12.3 Force Majeure: Neither party is liable for delays due to events beyond reasonable control.

12.4 Entire Agreement: These Terms constitute the full agreement, superseding prior understandings.
